1. Definitions
1.1 “Company” refers to Ironclad Coatings Limited.
1.2 “Client” refers to the individual or business engaging the Company’s services.
1.3 “Services” refers to all industrial spray painting and related works provided by the Company.
1.4 “Contract” refers to the agreement between the Company and the Client, including these Terms
and Conditions and any written quotation.
2. Quotations and Acceptance
2.1 All quotations are valid for 30 days unless otherwise stated.
2.2 Acceptance of a quotation, whether in writing or by commencement of work, constitutes
acceptance of these Terms and Conditions.
2.3 The Company reserves the right to amend quotations if the scope of work changes.
3. Deposit and Payment Terms
3.1 A non-refundable deposit of 25% of the total quoted price is required prior to scheduling or
commencement of any work.
3.2 The remaining balance shall be payable as follows:
• 75% upon completion of the Services, unless otherwise agreed in writing.
3.3 The Company reserves the right to request interim payments for larger or ongoing
projects.
3.4 Late payments may be subject to interest at a rate of 5% per annum above the Bank of
England base rate.
4. Scope of Work
4.1 The Company will carry out the Services as outlined in the agreed quotation.
4.2 Any additional work requested by the Client that falls outside the original scope will be subject to
additional charges.
4.3 The Client is responsible for ensuring that all relevant permissions, access, and site conditions are
suitable prior to commencement.
5. Access and Site Conditions
5.1 The Client must provide safe and adequate access to the site.
5.2 The Company reserves the right to delay or suspend work if conditions are deemed unsafe or
unsuitable.
5.3 Any delays caused by the Client may result in additional charges.
6. Health and Safety
6.1 The Company will comply with all applicable health and safety regulations.
6.2 The Client must inform the Company of any known hazards or risks associated with the site.
7. Materials and Workmanship
7.1 The Company will use appropriate materials suitable for industrial spray applications.
7.2 While every effort is made to ensure durability, the Company does not guarantee against normal
wear and tear, environmental factors, or structural issues beyond its control.8. Completion and Delays
8.1 Estimated completion times are provided in good faith but are not guaranteed.
8.2 The Company shall not be liable for delays caused by weather conditions, supply issues, or other
circumstances beyond its control.
9. Cancellation
9.1 If the Client cancels the Contract after acceptance, the 25% deposit will be retained by the
Company.
9.2 If cancellation occurs after work has commenced, the Client will be liable for all work completed
and materials purchased up to the cancellation date.
10. Liability
10.1 The Company shall carry out all work with reasonable care and skill.
10.2 The Company’s liability is limited to the value of the Contract.
10.3 The Company shall not be liable for indirect or consequential losses, including loss of business
or profits.
11. Insurance
11.1 The Company holds appropriate public liability insurance.
11.2 Proof of insurance can be provided upon request.
12. Warranty
12.1 Any warranty provided will be specified in writing within the quotation.
12.2 Warranty claims must be submitted in writing within the specified warranty period.
13. Force Majeure
13.1 The Company shall not be held liable for failure or delay in performance due to events beyond its
reasonable control, including but not limited to natural disasters, strikes, or supply chain disruptions.
14. Governing Law
England and Wales.
14.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of

15.1 These Terms and Conditions, together with the quotation, constitute the entire agreement
between the parties and supersede any prior agreements or understandings.
